1. About Deal Punch

Deal Punch is a marketplace platform that connects consumers with local businesses offering discounted deals. We provide the technology and platform — the businesses listed on Deal Punch are independent merchants who create, manage, and fulfill their own deals. Deal Punch is not the merchant of record for any transaction. When you purchase a deal, your transaction is with the merchant, not with Deal Punch.

2. Vouchers

When you purchase a deal on Deal Punch, you receive a digital voucher. Vouchers are subject to the following terms:

• Each voucher is valid for one-time use only.
• Vouchers are non-transferable and may not be resold.
• Vouchers have no cash value and cannot be exchanged for cash.
• Vouchers expire 90 days from the date of purchase. After expiration, the voucher is void and cannot be redeemed.
• Redemption is handled by the merchant via QR code scan. You must present your voucher at the time of redemption.

3. Platform Fee for Merchants

Merchants participating on Deal Punch pay a flat platform fee of $200 per month, capped regardless of volume. This fee is deducted from merchant sales processed through the platform. There are no upfront costs to list on Deal Punch.

4. User Accounts

To purchase deals, you must create an account using a valid email address and password. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

5. Prohibited Use

You agree not to:

• Use the platform for any unlawful purpose or in violation of any applicable law.
• Attempt to gain unauthorized access to any part of the platform or its systems.
• Interfere with or disrupt the platform or servers connected to the platform.
• Resell, duplicate, or distribute vouchers obtained through the platform.
• Create multiple accounts to abuse promotions or circumvent restrictions.
• Scrape, harvest, or collect data from the platform without written permission.

6. Limitation of Liability

Deal Punch is a platform that facilitates transactions between consumers and local businesses. We are not responsible for the quality, safety, legality, or availability of goods or services offered by merchants. Any disputes regarding the fulfillment of a deal must be resolved between you and the merchant. Deal Punch is not liable for any damages, losses, or injuries arising from the use of a merchant's goods or services.

To the fullest extent permitted by law, Deal Punch's total liability for any claim arising from your use of the platform shall not exceed the amount you paid for the specific deal in question.

7. Modification of Terms

We reserve the right to update or modify these Terms of Service at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of the platform after any changes constitutes your acceptance of the revised terms.

8. City Operator License Program

Deal Punch offers a City Operator License program that allows independent operators to manage the Deal Punch marketplace within a specific city. City Operators are independent contractors and are not franchisees, partners, joint venturers, agents, or employees of Deal Punch or MyFit4Challenge, LLC.

The City Operator License does not constitute a franchise under federal or state law. Operators do not receive exclusive territories and the Platform reserves the right to operate any market directly. Operators are solely responsible for their own business operations, tax obligations, and legal compliance.

City Operators are governed by a separate City Operator License Agreement, which details fees, revenue sharing, activity requirements, and revocation terms.

9. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of Indiana, without regard to its conflict of law provisions. Any legal action or proceeding arising under these terms shall be brought exclusively in the courts located in the State of Indiana.
